1. Acceptance of Terms

By accessing or using the Austipay platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

The Service is operated by AUSTIPAY PTY LTD (ACN 695 275 775), trading as "Austipay" ("we", "us", or "our").

2. Service Description

Austipay is a non-custodial payment orchestration service. We do not hold, process, or transfer funds. We provide technology that:

  • Generates payment intents with unique references
  • Monitors bank transactions via our proprietary Watcher Engine
  • Matches payments to intents using NPP/PayID reference codes
  • Notifies merchants of successful payments via webhooks

Privacy-First Design: We do not store PayIDs, bank account numbers, or banking credentials. Our system uses reference matching, not account access.

3. Pricing

Transactions Under $20

$0.00 — Fee-free for both consumer and merchant

Transactions $20 and Above

$0.00 — Consumer fee (always free for consumers)

$0.18 — Merchant fee per transaction

Merchant Subscription

$8.00/month — Platform access, dashboard, analytics, and API

All prices are in Australian Dollars (AUD) and inclusive of GST where applicable.

4. Merchant Responsibilities

As a merchant, you agree to:

  • Provide accurate business information during registration
  • Maintain a valid PayID capable of receiving NPP/Osko payments
  • Ensure transaction amounts and references are accurate
  • Comply with all applicable laws, including consumer protection and privacy laws
  • Not use the Service for illegal, fraudulent, or deceptive purposes
  • Implement reasonable security measures for API keys and webhooks
  • Respond to customer inquiries regarding Austipay transactions

5. Customer Mandate Terms (Tap & Go)

Customers may opt into frictionless "Tap & Go" payments with trusted merchants. By creating a mandate:

  • Customers authorize pre-approved payments up to their set limit (default $100)
  • Mandates apply only to merchants the customer has explicitly trusted
  • Velocity limits apply: max 10 transactions per merchant/day, max $500/day per merchant
  • Customers can revoke any mandate at any time through the Austipay consumer app
  • Mandates automatically expire after 12 months of inactivity

Trust Mark Requirement: Merchants must maintain Trust Mark status to accept frictionless payments.

6. Billing Terms

Service Models:

Contract Model: $8.00 per month base fee (paid upfront) plus $0.18 per transaction ("bam") billed in arrears every 30 days.

Prepaid Model: $8.00 base fee plus prepaid transaction bundles at $0.18 per bam. Balance decrements with each transaction.

Billing Cycle:

Contract billing cycles run for 30 days from the date of signup or last invoice. Invoices are due within 7 days of issuance.

Payment Method:

All billing payments must be made via PayID transfer to Austipay's designated billing PayID. Payments are reconciled automatically by the Watcher Engine.

No Refunds:

Subscription fees, transaction fees, and prepaid credits are non-refundable once processed. Prepaid bundles do not expire but cannot be converted to cash.

7. Service Suspension

Access to the Austipay payment facilitation service is contingent upon timely payment of all fees.

Your account will be automatically locked ("Gatekeeper Lockout") if:

  • A Contract invoice becomes overdue (more than 7 days past due date)
  • Your Prepaid balance reaches zero
  • We detect fraudulent or abusive activity
  • You violate these Terms of Service

During lockout: All payment processing functionality is disabled. Your NFC tags, QR codes, and API endpoints will not accept new transactions until payment is received and verified.

Restoration: Upon successful payment via PayID, your account will be unlocked automatically within minutes.

8. Subscription and Cancellation

No Lock-in Contracts: Merchant subscriptions are month-to-month with no minimum commitment.

Cancellation: You may cancel your subscription at any time through your merchant dashboard. Cancellation takes effect at the end of your current billing cycle.

Outstanding Balances: Upon cancellation, any outstanding transaction fees from the current period will be invoiced and must be paid.

Prepaid Balance on Cancellation: Unused prepaid bams cannot be refunded or transferred.

7. Limitation of Liability

To the maximum extent permitted by Australian law:

  • Austipay is provided "as is" without warranties of any kind
  • We do not guarantee uninterrupted or error-free service
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the fees you paid in the 12 months preceding the claim

No Chargeback Protection: PayID payments are final. Austipay does not participate in or guarantee dispute resolution between merchants and customers.

8. Intellectual Property

All intellectual property in the Austipay platform, including but not limited to:

  • The Watcher Engine transaction matching system
  • The Tap & Go frictionless payment protocol
  • Austipay trademarks, logos, and branding
  • Software, APIs, and documentation

...are the exclusive property of Craig Austin / Austipay and are protected by Australian and international intellectual property laws.

You may not copy, modify, distribute, or create derivative works of our proprietary technology without express written permission.

9. Dispute Resolution

Governing Law: These Terms are governed by the laws of Queensland, Australia.

Informal Resolution: We encourage you to contact us at [email protected] to resolve any issues before pursuing formal action.

Jurisdiction: Any disputes not resolved informally shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via:

  • Email to your registered merchant email address
  • Notice on the Austipay website or dashboard

Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
